Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Apex Coach mobile application and web platform (collectively, the "Service"), operated by Apex Coach ("we", "us", or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility and Accounts

You must be at least 16 years old to create an account. If you are under the age of majority in your jurisdiction, you must have permission from a parent or guardian.
You are responsible for providing accurate registration information and for keeping your password secure. You are responsible for all activity that occurs under your account.
You must notify us promptly at the address below if you suspect unauthorised use of your account.

2. Description of the Service

Apex Coach connects fitness coaches with their clients. Depending on your role, the Service allows you to:

Coaches: manage clients, leads, and tasks; build and assign workout plans and exercises; track client progress; record timesheets; message clients via WhatsApp; and accept payments via Stripe.
Clients: view and complete workout plans assigned by your coach, and track your own progress and workout history.

We may add, change, or remove features at any time.

3. Coach Responsibilities

If you use the Service as a coach, you are solely responsible for the coaching advice, workout plans, and exercise programmes you create or assign. We do not review, verify, or endorse the qualifications of any coach, and we are not a party to the coaching relationship between a coach and their client. Coaches must hold any certifications or insurance required by law or industry standard for the services they provide.

4. Health and Fitness Disclaimer

The Service is not a substitute for professional medical advice, diagnosis, or treatment. Workout plans, exercises, and related content are provided for general fitness purposes only.

Consult a physician before beginning any exercise programme, particularly if you have a pre-existing medical condition.
You assume all risks associated with physical exercise, including but not limited to injury, illness, or death.
Neither we nor any coach using the Service guarantee any specific outcome, fitness result, or level of safety.

5. Payments

Coaches may use the Service to accept payments from clients via Stripe. By connecting a Stripe account, you agree to Stripe's terms of service, available at https://stripe.com/legal. We are not a party to, and accept no liability for, any payment, refund, or billing dispute between a coach and their client. Fees charged by Stripe for payment processing are the responsibility of the coach.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of these Terms;
Impersonate any person or misrepresent your affiliation with any person or entity;
Upload or transmit content that is abusive, defamatory, or infringes the rights of others;
Attempt to gain unauthorised access to the Service, other accounts, or our systems;
Use the Service to send unsolicited or bulk messages, including via WhatsApp;
Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.

We may suspend or terminate accounts that violate this section.

7. Content

You retain ownership of the content you submit to the Service, including workout plans, exercises, and messages ("Your Content"). By submitting Your Content, you grant us a licence to host, store, and display it as necessary to operate the Service. You are responsible for ensuring you have the right to submit Your Content and that it does not infringe any third party's rights.

8. Termination

You may stop using the Service and request deletion of your account at any time by contacting us at the address below. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or if continued provision of the Service to you poses a risk to us, other users, or third parties. Upon termination, your right to use the Service ceases immediately.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, Apex Coach shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service, including any injury sustained while following a workout plan or exercise programme. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Apex Coach from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date above and, where appropriate, by sending you a notification. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
